Terms of service
The terms on which Mabi Labs provides Mabi Data Intelligence. A signed order form or master agreement with a customer takes precedence over these terms where they differ.
1. The service
Mabi Data Intelligence (the "service") is a web application operated by BIUK Brands Ltd, a company registered in England and Wales (company number 15048258, registered office Unit C1A, Poole Hall Road Industrial Estate, Ellesmere Port, CH66 1ST, United Kingdom), trading as Mabi Labs ("Mabi Labs", "we") that reads data from e-commerce, advertising and accounting platforms a customer connects, and presents it as dashboards, reports, alerts and exports. The features are described at mabilabs.io.
2. Eligibility and accounts
The service is for businesses. By creating a workspace you confirm that you are acting for a business, that you are authorised to bind it, and that you are at least 18. You are responsible for the people you invite to your workspace, for keeping credentials confidential, and for all activity under your accounts.
3. Connecting platforms
You connect each platform through that platform's own authorisation flow. You confirm that you are entitled to grant us access to each account you connect, and that doing so complies with the platform's terms. You may revoke access at any time, from the integrations page in the service or from the platform itself. We request read-level permissions only and do not write to your marketplace, advertising or accounting accounts.
4. Your data
You own the data in your workspace. You grant us a licence to host, process and display it solely to provide the service to you and as described in our privacy policy. We do not sell it, pool it with other customers' data, or use it to benefit anyone other than you. On termination we delete it as set out in the privacy policy. Where we process personal data on your behalf we act as your processor and the privacy policy forms our data processing terms.
5. Acceptable use
You must not use the service to break the law, to infringe anyone's rights, to attempt to access another customer's workspace, to reverse engineer or scrape the service, or to place unreasonable load on it. You must not connect accounts you are not authorised to connect.
6. Fees
Fees are set out in your quote and are payable monthly in advance unless the quote says otherwise. Prices exclude VAT. We may change the fee for a subsequent month with at least 30 days' written notice. Invoices unpaid 14 days after their due date may lead to suspension of the workspace until payment is received.
7. Availability and support
We aim to keep the service available at all times and to sync each platform on the schedule shown in the application, but we do not guarantee uninterrupted availability or that every platform will always be reachable; platforms change their APIs, rate limits and data with little notice. Where a figure cannot be computed reliably the service says so rather than showing a number. Support is provided by email during UK business hours.
8. Figures are management information
Dashboards, reconciliations and estimates in the service are management information derived from the data the platforms make available. They are not accounting records, tax advice or financial advice. Open months are estimates until the platforms release their final figures. You remain responsible for your statutory accounts, VAT returns and tax filings and should verify figures against your own records before relying on them.
9. Intellectual property
The service, its software, design and documentation belong to Mabi Labs. Nothing in these terms transfers that ownership. Feedback you give us may be used to improve the service without obligation to you.
10. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, we are not liable for loss of profit, revenue, data or business, or for any indirect or consequential loss, and our total liability to you in any 12-month period is limited to the fees you paid for the service in that period.
11. Termination
You may cancel at any time with effect from the end of the current monthly period. We may suspend or terminate the service for material breach that is not remedied within 14 days of notice, for non-payment, or if a platform withdraws access we need to provide the service. On termination, access ends and your data is deleted as described in the privacy policy.
12. Changes
We may update these terms by posting a new version on this page with a new effective date, and will notify workspace owners by email at least 30 days before a material change takes effect.
13. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
